Welcome to Gaia Goods. By accessing or using our website (https://gaiagoods.org/) and marketplace, you agree to comply with and be bound by the following Terms & Conditions. Please read them carefully.

These Terms and Conditions (“Terms”) govern your access to and use of the GaiaGoods marketplace website located at www.gaiagoods.org (the “Platform”). The Platform is owned and operated by Gaia Goods, Inc., an Oregon corporation (“GaiaGoods,” “we,” “our,” or “us”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Eligibility

You must be at least 18 years old to use the Platform.

The Platform currently ships only within the United States. Vendors may operate globally but must comply with all applicable laws for selling into the United States.

2. Marketplace Role

GaiaGoods operates a multi‑vendor marketplace where independent vendors offer products to customers.

GaiaGoods:

  • Provides the technology platform

  • Processes payments via third‑party processors

  • Facilitates listing discovery

GaiaGoods is not the seller of record for third‑party vendor products unless explicitly identified as the seller. Each vendor is solely responsible for its products, shipping, warranties, and representations.

3. Accounts

Users must provide accurate information and maintain the confidentiality of their login credentials. You are responsible for all activities occurring under your account.

We reserve the right to suspend or terminate accounts for violations of these Terms.

4. Purchases and Payments

Payments are processed through third‑party providers such as Stripe and PayPal. By making a purchase you agree to the payment provider’s terms.

Prices, availability, and product descriptions are provided by vendors and may change at any time.

5. Vendor Responsibilities

Vendors participating in the Platform agree to:

  • Provide accurate product descriptions and images

  • Fulfill orders promptly

  • Handle returns and customer service

  • Comply with all applicable laws

  • Maintain ethical and quality standards aligned with GaiaGoods values

GaiaGoods may remove listings or suspend vendors who fail to meet these requirements.

6. Returns, Refunds, and Disputes Between Users

Return and refund policies are determined by each vendor unless GaiaGoods is the direct seller.

GaiaGoods may assist in resolving disputes but is not obligated to mediate buyer‑seller disagreements.

7. Acceptable Use

You agree not to:

  • Use the Platform for unlawful purposes

  • Upload harmful code or interfere with operations

  • Misrepresent products or identity

  • Harvest user data without permission

  • Circumvent marketplace fees

We may remove content or terminate accounts at our discretion.

8. Intellectual Property

All Platform content including logos, branding, and software belongs to GaiaGoods or its licensors.

Vendors retain ownership of their product content but grant GaiaGoods a non‑exclusive license to display and promote listings.

Users may not reproduce Platform content without permission.

9. Third‑Party Services

The Platform integrates services including hosting, analytics, payment processors, and communication providers. GaiaGoods is not responsible for third‑party service availability or performance.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

GaiaGoods does not guarantee:

  • Product quality from independent vendors

  • Continuous availability of the Platform

  • Accuracy of vendor information

11. Limitation of Liability

To the maximum extent permitted by law, GaiaGoods shall not be liable for:

  • Indirect or consequential damages

  • Loss of profits or data

  • Vendor product defects or misrepresentations

Our total liability shall not exceed the amount paid to GaiaGoods in connection with the transaction giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless GaiaGoods from claims arising out of:

  • Your misuse of the Platform

  • Your violation of these Terms

  • Vendor product liability (if you are a vendor)

13. Termination

We may suspend or terminate access at any time for violation of these Terms or risk to the Platform or users.

Upon termination you must cease use of the Platform immediately.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Oregon, USA.

Any dispute arising from these Terms shall first be attempted to be resolved informally. If unresolved, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association in Portland, Oregon.

You waive the right to participate in class actions or jury trials to the extent permitted by law.

15. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
